Melinda Walker, Attorney

Melinda is a seasoned attorney with over 10 years of experience helping energy companies develop, finance, buy, sell and manage energy projects and businesses. Prior to her work at McCauley Lyman, she spent 6 years as in-house counsel at a major solar developer, involved in all aspects of renewable energy projects. Prior to that, she was an attorney advisor to the U.S. Department of Energy in the Energy Efficiency and Renewable Energy Office. Melinda earned her J.D. from University of Houston School of Law, cum laude, and her B.S. in Economics with a minor in Management from Texas Christian University, summa cum laude.

Melinda specializes in corporate, renewable energy and environmental law. Her practice includes advising clients on critical and complex transactional matters involving:
  • Early, mid-stage and late-stage project development, planning and permitting with a particular focus on real estate, environmental and regulatory compliance
  • Drafting and negotiating power purchase agreements, tax agreements, renewable energy credit purchase agreements, leases, easements, and surface use agreements  
  • Clearing title related exceptions in connection with project financing and acquisition
  • Representing solar developers in safe harboring of solar equipment, including negotiation of purchase agreements and tax-required segregation and processing
  • Drafting and negotiating supply agreements, EPC Agreements, and O&M agreements
  • Solar project acquisitions, including negotiation and finalization of asset purchase or membership interest purchase agreements and ancillary documents, due diligence and financing
  • Asset management and off-take arrangements
  • General corporate governance
 
Melinda has a varied client base, advising developers, landowners, EPC and O&M contractors, equity investors, purchasers, sellers and off-takers in respect of development, construction and operation of energy projects and battery storage. In collaborating with clients, Melinda blends technical understanding and practical advice based on her experience to enable her clients to understand risks, take advantage of opportunities, and overcome challenges.
